Bridge Lending in 2025:
What Borrowers Need to Know

Rising rates and tightening bank credit have reshaped the bridge lending landscape. Here's what sophisticated borrowers should understand heading into 2025.

The shift

The bridge lending landscape has changed

Over the past 18 months, traditional bank lenders have pulled back significantly from transitional real estate financing. Higher capital requirements, tighter underwriting standards, and elevated regulatory scrutiny have created a meaningful gap in the market, one that private credit platforms like Rhine Legacy Capital are well-positioned to fill.

Why private credit is filling the gap

Regional and community banks, historically the backbone of transitional CRE lending, have been forced to reduce exposure under heightened regulatory scrutiny and tightening capital rules. The result: experienced sponsors with strong business plans are being turned away by lenders who once actively courted them. Private balance-sheet lenders have stepped into this vacuum, offering certainty, speed, and flexibility that regulated institutions simply cannot match.

Demand drivers

What's driving bridge demand

Despite rate volatility, transaction volume remains active across key asset classes. Borrowers who previously relied on local banks for short-term financing are increasingly turning to private lenders for speed and certainty.

Multifamily Acquisitions
Value-add plays with below-market rents or deferred capex where agency lenders won't engage pre-stabilization.
Industrial Repositioning
Flex and multi-tenant industrial where the sponsor needs bridge capital to execute a repositioning before permanent debt.
Retail-to-Mixed-Use
Conversion plays requiring a transitional lender willing to underwrite to the finished business plan, not the current use.
Maturity Defaults
Existing loans coming due in a rate environment where the refinance math no longer works, savior capital stepping into the gap.
For borrowers

Four things that matter in the current market

Not all bridge capital is the same. Before you sign a term sheet, these are the questions every sophisticated borrower should be asking.

01
Certainty of Execution
In a complex rate environment, lenders who can commit and close quickly are worth a premium. Look for direct balance-sheet lenders with in-house underwriting, they move faster and with fewer conditions. When a deal is time-sensitive, the lender's ability to say "yes" and mean it is the most valuable thing they offer.
02
Loan-to-Value vs. Loan-to-Cost
Understand the difference. A 75% LTV on a stabilized asset is very different from 85% LTC on a ground-up or heavy rehab. Know which metric applies to your deal, and make sure your lender is underwriting the right one. Mixing these up is how sponsors get surprised at closing.
03
Extension Options
Bridge loans carry maturity risk. Ensure your lender offers structured extension options tied to reasonable benchmarks, occupancy thresholds, debt service coverage, or completion milestones. A rigid maturity with no runway is a liability, not a loan.
04
Prepayment Flexibility
If you expect to refinance into permanent debt within 12 months, negotiate step-down prepayment penalties rather than flat fees. The difference between a flat 2% and a step-down structure can mean tens of thousands of dollars on a mid-market deal.
